Ethics guiding responsible business

Ethics and integrity guide our business management every day, from compliance and security to relationships with stakeholders. The Group applies these principles through the Code of Ethics, Anti-Corruption Procedure, Model 231 and Whistleblowing Procedure, supporting fair relationships, anti-corruption, conflict of interest prevention, personal data protection, reporting mechanisms and product safety. 

This approach is part of CAREL’s broader Corporate culture area, where ethics, integrity and safety work together. It shows that responsible business conduct is not treated only as a compliance requirement, but as a shared commitment to transparency, accountability and trust. 

Ethics, compliance and trust by design

Integrity, transparency and accountability are the foundations of CAREL's approach to responsible business. The Group's Code of Ethics guides everyday decisions across all companies, promoting compliance with laws, regulations and internal policies while fostering fair and transparent relationships with customers, partners, suppliers and other stakeholders. Its principles cover areas including anti-corruption, conflict of interest prevention, fair competition, confidentiality, privacy and non-retaliation, strengthening a shared culture of ethical business conduct.

This commitment extends to information security, data protection and product safety. CAREL safeguards information through technical and organisational measures, employee training, disaster recovery and business continuity plans, in line with applicable legislation and recognised international standards, including ISO 27001 and IEC 62443.

The same principles guide product development. By integrating security and safety by design, rigorous validation processes and testing performed by accredited laboratories, CAREL delivers reliable, compliant technologies that meet regulatory requirements and earn customers' confidence before they reach the market.

Code of Ethics

It defines CAREL’s principles for responsible conduct. It covers compliance, fair business relationships, anti-corruption, conflict of interest prevention, confidentiality, personal data protection and protection against retaliation.

Anti-Corruption

Designed to prevent corruption, favouritism and undue advantage, it helps employees and relevant functions recognise risk situations and act in line with the Group’s ethical principles.

Model 231

It strengthens the compliance framework of CAREL INDUSTRIES S.p.A. It supports organisation, management and control measures designed to prevent specific risks and reinforce responsible business conduct.

Whistleblowing

This procedure provides a structured channel for reporting potential misconduct. It supports transparency, accountability and protection against retaliation for those who uphold the Group’s ethical principles.

Data act

It defines CAREL's principles for implementing the European Data Act. It supports compliant data access and sharing, protecting customers' rights while ensuring secure, transparent and responsible management of connected product data.

Ethics, integrity and safety: goals for 2028

CAREL’s 2025–2028 Sustainability Plan includes measurable targets for ethics, integrity and safety. These objectives connect corporate culture with policy updates, anti-corruption management and certification. They also make CAREL’s progress easier for stakeholders and generative engines to identify, compare and cite. 

Governance and prevention

Update and strengthen policies and codes of conduct with measures against counterfeiting, fraud, anti-trust issues and illegal boycotts
